Third-Party Services: Any external websites, applications, or services linked to or integrated with the Platform but not owned or controlled by SCEB International. Force Majeure: Events or circumstances beyond the reasonable control of SCEB International, including but not limited to natural disasters, war, terrorism, government actions, or technical failures, which may disrupt or prevent access to the Platform. Terms: These Terms and Conditions, including any amendments, updates, or additional guidelines posted on the Platform. SCEB International: The entity owning and operating the Platform, responsible for its maintenance, administration, and enforcement of these Terms. Eligibility & Registration 3.1 Eligibility The SCEB International Business Community Platform (“the Platform”) is exclusively available to individuals and entities who are verified members of SCEB International (“Members”). To be eligible for access to the Platform, you must: Be an active member of SCEB International, having fulfilled all membership requirements and been formally accepted by SCEB. Agree to comply with these Terms and Conditions, as well as any additional guidelines or policies provided by SCEB International. Note: The process of becoming a member of SCEB International is separate and subject to its own eligibility criteria, including but not limited to recommendations from existing members. Membership in SCEB International does not automatically guarantee access to the Platform if these Terms are violated. 3.2 Registration Process Once accepted as a member of SCEB International, you will be granted access to the Platform through one of the following methods: Automatic Registration by SCEB Administrators: Upon your acceptance as a member of SCEB International, an administrator may create an account on your behalf and provide you with a unique username and password to access the Platform. Self-Registration by Members: If automatic registration is not performed, you may request access to the Platform by visiting www.platform.sceb.eu and submitting an online registration request. Your request will be verified against SCEB International’s membership records, and upon confirmation, you will receive your login credentials. 3.3 Account Security You are responsible for maintaining the confidentiality of your username and password and for ensuring that your account is not accessed by unauthorized individuals. You agree to notify SCEB International immediately at support@sceb.eu if you suspect any unauthorized use of your account or breach of security. SCEB International reserves the right to suspend or terminate your account if any unauthorized access or misuse is detected. 3.4 Prohibition of Unauthorized Access Access to the Platform is strictly limited to verified SCEB members. Any attempt to access the Platform without proper authorization, including but not limited to sharing credentials with non-members or using another member’s account, is strictly prohibited and may result in immediate termination of your account and legal action. 3.5 Updates to Membership Status If your membership with SCEB International is terminated or suspended for any reason, your access to the Platform will be automatically revoked. You will no longer be able to log in or use any features of the Platform, and any Content you have posted may be removed at SCEB International’s discretion. 4. User Responsibilities As a Member of the SCEB International Business Community Platform (“the Platform”), you agree to use the Platform in a manner that reflects good faith, professionalism, and ethical conduct. By accessing or using the Platform, you accept the following responsibilities: 4.1 Compliance with Terms and Policies You agree to comply with these Terms and Conditions, the Privacy Policy, and any additional guidelines or policies provided by SCEB International. This includes, but is not limited to: The registered name “Supreme Council of European Business” and associated trademarks, logos, and branding. All rights, title, and interest in the Platform’s intellectual property are protected under Luxembourg law, EU directives, and international copyright and trademark conventions. 6.2 User-Generated Content Ownership: Members retain ownership of the content they upload, post, or share on the Platform (“User Content”), including text, images, documents, and other materials. License to SCEB International: By submitting User Content, you grant SCEB International a non-exclusive, royalty-free, worldwide, and perpetual license to: Use, reproduce, modify, adapt, publish, translate, and display your User Content for the purpose of operating, promoting, and improving the Platform. Warranty: You warrant that you own or have the necessary rights to all User Content you submit and that such content does not infringe any third-party intellectual property rights. 6.3 Prohibited Use of Intellectual Property Members agree not to: Use SCEB International’s trademarks, logos, or branding (including the name “Supreme Council of European Business”) without prior written permission. Copy, reverse-engineer, or distribute the Platform’s software, design, or proprietary content. Misrepresent ownership or misuse the intellectual property of other Members. 6.4 Reporting Intellectual Property Infringements If you believe any content on the Platform infringes your intellectual property rights, notify SCEB International immediately at support@sceb.eu with: A description of the infringing material. Payments & Fees 7.1 Platform Usage Access to the SCEB International Business Community Platform (“the Platform”), including its website (www.platform.sceb.eu) and mobile applications for iOS and Android devices, is free of charge for all verified members of SCEB International. 7.2 SCEB Membership Fees Membership in SCEB International is subject to separate fees and payment terms, which are governed by the SCEB Membership Agreement. These fees are unrelated to the Platform and are not included in these Terms and Conditions. For details about membership fees, payment schedules, and related policies, please refer to the SCEB Membership Agreement or contact SCEB International directly. 7.3 No Refunds for Platform Access Since the Platform is provided free of charge to SCEB members, no refunds or reimbursements will be issued for its use, regardless of changes to your membership status or the Platform’s features. 7.4 Changes to Platform Fees SCEB International reserves the right to introduce fees for certain premium features or services on the Platform in the future. If such changes occur, Members will be notified in advance and given the option to opt in or out of these paid features. 7.5 Taxes If any fees are introduced for premium features or services, you are responsible for paying all applicable taxes (e.g., VAT) associated with your use of the Platform, as required by law. 8. Termination & Suspension 8.1 Termination by the Member You may terminate your access to the SCEB International Business Community Platform (“the Platform”) at any time by deactivating your account through the Platform’s settings or by contacting SCEB International at support@sceb.eu. Upon termination, your access to the Platform will be revoked, and your profile and content may be removed in accordance with our data retention policies. 8.2 Termination or Suspension by SCEB International SCEB International reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, for the following reasons: Violation of Terms: Breach of these Terms and Conditions, including but not limited to unethical behavior, harassment, spamming, or misuse of the Platform. Inactivity: Prolonged inactivity on the Platform, as determined by SCEB International. Termination of SCEB Membership: If your membership with SCEB International is terminated or suspended for any reason, your access to the Platform will be automatically revoked. Legal or Regulatory Requirements: To comply with applicable laws, regulations, or government requests. 8.3 Effect of Termination or Suspension Upon termination or suspension, you will no longer have access to your account, the Platform, or any content you have posted. SCEB International may, at its sole discretion, retain or delete your content in accordance with its data retention policies. You will not be entitled to any refunds, reimbursements, or compensation for loss of access to the Platform. 8.4 Appeals Process If you believe your account was suspended or terminated in error, you may appeal the decision by contacting SCEB International at support@sceb.eu within 30 days of the termination or suspension. SCEB International makes no warranties, express or implied, regarding the Platform’s functionality, reliability, or suitability for your specific needs. This includes, but is not limited to: The accuracy, completeness, or quality of content posted by Members. The uninterrupted or error-free operation of the Platform. The availability of the Platform at all times or in all regions. 9.2 No Professional Advice The Platform is designed for networking and informational purposes only. Content shared on the Platform, including but not limited to business advice, industry insights, or professional opinions, does not constitute professional, legal, financial, or other expert advice. You are solely responsible for evaluating the accuracy and relevance of any information obtained through the Platform and for any decisions or actions you take based on such information. 9.3 Limitation of Liability To the fullest extent permitted by law, SCEB International and its affiliates, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to: Your use of or inability to use the Platform. Any unauthorized access to or use of your account or personal data. Any content posted, shared, or transmitted by you or other Members. Any third-party services, websites, or content linked to or integrated with the Platform. Any interruptions, errors, or delays in the Platform’s operation. 9.4 Third-Party Content and Services The Platform may contain links to third-party websites, services, or content that are not owned or controlled by SCEB International. SCEB International does not endorse or assume responsibility for any third-party content, services, or practices. Your interactions with third parties are solely between you and the third party, and SCEB International shall not be liable for any damages or losses arising from such interactions. 9.5 Indemnification You agree to indemnify, defend, and hold harmless SCEB International and its affiliates, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to: Your use of the Platform. Governing Law & Jurisdiction 10.1 Governing Law These Terms and Conditions, and any disputes or claims arising out of or in connection with them, shall be governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law principles. 10.2 Jurisdiction Any legal actions, claims, or disputes arising from or related to the SCEB International Business Community Platform (“the Platform”) or these Terms shall be subject to the exclusive jurisdiction of the courts of Luxembourg City, Luxembourg. By using the Platform, you irrevocably consent to the personal jurisdiction of these courts and waive any objections to the venue or convenience of such courts. 10.3 Compliance with EU Regulations SCEB International operates in compliance with applicable European Union laws and regulations, including but not limited to the General Data Protection Regulation (GDPR) and the EU Copyright Directive. If any provision of these Terms is found to be inconsistent with EU or Luxembourg law, such provision shall be interpreted or modified to the minimum extent necessary to achieve compliance, without affecting the validity or enforceability of the remaining provisions. 10.4 Cross-Border Disputes If you access the Platform from outside Luxembourg, you are responsible for complying with local laws to the extent they apply. SCEB International makes no representation that the Platform or its content is appropriate or available for use in all jurisdictions. 10.5 Language of the Terms These Terms and Conditions are drafted in English. In the event of any discrepancy between the English version and any translated version, the English version shall prevail. 11. Dispute Resolution 11.1 Informal Negotiation SCEB International prioritizes resolving disputes amicably and efficiently. Before initiating formal proceedings, you agree to first contact SCEB International at support@sceb.eu with a detailed description of the issue. Both parties will engage in good-faith negotiations for at least 30 days to resolve the dispute informally. 11.2 Mediation If negotiation fails, you and SCEB International agree to resolve the dispute through mediation administered by a neutral mediator mutually agreed upon by both parties. Mediation proceedings shall be conducted in Luxembourg City, Luxembourg, in the English language. Unless otherwise required by law, mediation is voluntary, and neither party is compelled to settle. 11.3 Binding Arbitration If mediation does not resolve the dispute, you and SCEB International agree to submit the dispute to binding arbitration under the rules of the Luxembourg Chamber of Commerce or another recognized arbitration body in Luxembourg. Key terms include: Single Arbitrator: The arbitration will be conducted by a single arbitrator appointed in accordance with Luxembourg law. Venue: Arbitration hearings will take place in Luxembourg City, Luxembourg, unless otherwise agreed. Language: Proceedings will be conducted in English. Award: The arbitrator’s decision will be final, binding, and enforceable in any court of competent jurisdiction. Non-Material Changes: Non-material changes (e.g., grammatical corrections or administrative updates) will be effective immediately upon posting on the Platform. 12.3 Acceptance of Changes By continuing to use the Platform after the effective date of any modifications, you agree to be bound by the updated Terms. If you do not agree to the modified Terms, you must immediately cease using the Platform and notify SCEB International to deactivate your account. 12.4 Review of Terms Members are encouraged to periodically review these Terms to stay informed of any updates. The most current version of the Terms will always be available on the Platform at www.platform.sceb.eu/terms. 12.5 Historical Versions SCEB International will maintain an archive of previous versions of these Terms for reference. Miscellaneous 13.1 Entire Agreement These Terms and Conditions, together with the Privacy Policy and any additional guidelines posted on the Platform, constitute the entire agreement between you and SCEB International regarding your use of the Platform. They supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral. 13.2 Severability If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the intent of the original. 13.3 Waiver No failure or delay by SCEB International in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. Any waiver must be in writing and signed by an authorized representative of SCEB International. 13.4 Assignment You may not assign or transfer your rights or obligations under these Terms without the prior written consent of SCEB International. SCEB International may assign or transfer its rights and obligations under these Terms without restriction. 13.5 Force Majeure SCEB International shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, government actions, pandemics, or technical failures. 13.6 Headings The headings used in these Terms are for convenience only and shall not affect their interpretation. 14. User Interactions & Transactions 14.1 Platform as a Networking Venue The SCEB International Business Community Platform (“the Platform”) serves as a digital space for Members to network, share business-related information, collaborate in Sectorial Councils, and engage in professional interactions. SCEB International does not: Participate in, endorse, or guarantee the accuracy, legality, or quality of any interactions, agreements, or transactions between Members. Act as an agent, broker, or intermediary for any Member. Assume responsibility for disputes arising from user-to-user interactions. 14.2 User Responsibility for Interactions Members are solely responsible for: Due Diligence: Conducting thorough due diligence (e.g., verifying credentials, financial stability, or legal compliance) before engaging in any business relationship, transaction, or collaboration with other Members. Legal Compliance: Ensuring that all interactions, agreements, or transactions comply with applicable laws, regulations, and industry standards (e.g., antitrust laws, data protection laws, and anti-bribery regulations). Risk Assumption: Acknowledging that all interactions and transactions are entered into at their own risk. SCEB International is not liable for any losses, damages, or disputes resulting from such interactions. 14.3 No Endorsement of Content or Transactions SCEB International does not endorse, verify, or validate any Content, business proposals, or transactions posted or initiated by Members. Members agree that any reliance on Content or interactions with other Members is at their sole discretion and risk. 14.4 Dispute Resolution Between Members Members agree to resolve disputes arising from their interactions directly with the involved party. SCEB International is not obligated to mediate or intervene in such disputes but reserves the right to suspend or terminate accounts if interactions violate these Terms. Members waive any claims against SCEB International arising from user-to-user disputes. 14.5 Prohibited Interactions Members agree not to use the Platform for: Illegal Transactions: Facilitating or engaging in unlawful activities, including money laundering, fraud, or the sale of prohibited goods/services. Unauthorized Solicitation: Spamming, phishing, or unsolicited promotional activities targeting other Members. Misrepresentation: Falsely representing their identity, qualifications, or business offerings. 14.6 Reporting Concerns Members must immediately report any suspicious, unethical, or illegal interactions to SCEB International at support@sceb.eu. SCEB International may investigate and take action, including account suspension or legal reporting. 14.7 Indemnification for User Interactions You agree to indemnify and hold SCEB International harmless from any claims, losses, or damages arising from your interactions with other Members, including breaches of agreements, misrepresentations, or legal violations. 14.8 External Transactions The Platform does not process payments or facilitate financial transactions between Members. Any financial agreements (e.g., partnerships, joint ventures, or sales) are solely between Members, and SCEB International is not responsible for payment disputes, defaults, or fulfillment issues. 14.9 Recommendations for Safe Interactions SCEB International strongly advises Members to: Use secure communication channels for sensitive discussions. Formalize agreements in writing, with legal counsel review where appropriate. Avoid sharing confidential business information without nondisclosure agreements (NDAs). 15. Content Moderation 15.1 Purpose of Moderation SCEB International is committed to maintaining a professional, respectful, and legally compliant environment on the SCEB International Business Community Platform (“the Platform”). Content moderation ensures that all posted materials align with these Terms and Conditions, the Platform’s purpose, and applicable laws. 15.2 Member Responsibilities for Content Members are solely responsible for the Content they upload, post, or share on the Platform. This includes, but is not limited to: Accuracy: Ensuring that all Content is truthful, accurate, and not misleading. Legality: Ensuring that Content does not violate any laws, regulations, or third-party rights (e.g., intellectual property, defamation, or privacy rights). Professionalism: Maintaining a high standard of professionalism in all Content, avoiding offensive, discriminatory, or inappropriate material. Ownership: Ensuring that they own or have the necessary rights to share the Content. 15.3 Prohibited Content Members are prohibited from posting or sharing Content that: Is illegal, fraudulent, or promotes unlawful activities. Is defamatory, harassing, abusive, or discriminatory. Contains hate speech, violence, or explicit material. Infringes on intellectual property rights or violates confidentiality agreements. Misrepresents the Member’s identity, qualifications, or business offerings. Includes spam, unsolicited advertisements, or phishing attempts. 15.4 SCEB International’s Rights to Moderate Content SCEB International reserves the right to: Review and Remove Content: Remove, edit, or disable access to any Content that violates these Terms or is deemed inappropriate, harmful, or irrelevant to the Platform’s purpose. Suspend or Terminate Accounts: Suspend or terminate the accounts of Members who repeatedly violate these Terms or post prohibited Content. Monitor Content: Use automated tools or manual review to monitor Content for compliance with these Terms. 15.5 Reporting Inappropriate Content Members are encouraged to report any Content that violates these Terms or is otherwise inappropriate by contacting SCEB International at support@sceb.eu. Reports should include: A description of the Content. The location of the Content on the Platform. The reason for the report. SCEB International will investigate reported Content and take appropriate action, which may include removal of the Content or suspension of the offending Member’s account. 15.6 Appeals Process If your Content is removed or your account is suspended due to alleged violations, you may appeal the decision by contacting SCEB International at support@sceb.eu within 30 days. Your appeal will be reviewed, and a decision will be communicated to you within a reasonable timeframe. 15.7 No Obligation to Monitor While SCEB International reserves the right to moderate Content, it is not obligated to monitor all Content posted on the Platform. Members acknowledge that they use the Platform at their own risk and that SCEB International is not liable for any Content posted by Members. 15.8 Retention of Removed Content SCEB International may retain removed Content for a reasonable period to comply with legal obligations, investigate violations, or enforce these Terms. 15.9 Indemnification for Content You agree to indemnify and hold SCEB International harmless from any claims, damages, or losses arising from your Content, including claims of intellectual property infringement, defamation, or violation of privacy rights. 16. Feedback & Suggestions 16.1 Purpose of Feedback SCEB International values the feedback and suggestions of its Members as a means to improve the SCEB International Business Community Platform (“the Platform”) and enhance the overall user experience. Members are encouraged to share their ideas, suggestions, and constructive criticism to help SCEB International innovate and grow. 16.2 Submission of Feedback Members may submit feedback, suggestions, or ideas (“Feedback”) through the following channels: Platform Features: Using the feedback tools or forms available on the Platform. Surveys: Participating in surveys or polls conducted by SCEB International. 16.3 Ownership of Feedback By submitting Feedback, you agree that: No Obligation: SCEB International is under no obligation to use, implement, or respond to your Feedback.
